Owner Dependency
We embed key knowledge and relationships across the company, reducing bottlenecks and allowing the business to perform without everything depending on the owner.
Thank you for reaching out. A member of our investment team will review your message and contact you shortly.
We specialise in acquiring and growing backbone businesses, the essential, often unglamorous operators that quietly keep the UK economy running. These are the trades, services and engineering firms that other businesses and households depend on every day, built on skilled people, long standing client relationships and dependable delivery.
Across sectors as varied as maintenance, engineering, logistics, manufacturing and specialist trades, these companies share the same DNA: essential services, loyal customers and strong operational foundations. Our focus is on partnering with established businesses that have recurring revenues, resilient demand, and long-term client relationships.
We operate on a simple premise: we don't change what is working. Our approach is rooted in the preservation of the culture and operational excellence that built your company.
Our leadership style is one of curiosity and partnership. We lead by asking the right questions and listening to the existing team, ensuring their expertise remains the primary driver of success.
We believe in strategic oversight, not micromanagement. By maintaining a light touch, we empower local management to run the day to day business while we focus on the high level roadmap and resources.
We don't acquire to strip and flip. We acquire to strengthen bringing together exceptional businesses and building the infrastructure, talent, and systems that make each one better for being part of the whole. Our aim is a group worth more together than the sum of its parts.
We approach every opportunity with total transparency. From the first conversation to the final handover, we prioritize honesty and communication, ensuring peace of mind and a seamless transition.
A transparent and efficient path designed to ensure continuity and confidentiality for all parties.
Initiated through proactive outreach or direct inquiry, we then conduct a discovery call to evaluate if our values align.
Execution of a mutual Non Disclosure Agreement. Total confidentiality is our priority, ensuring all data and discussions remain strictly between the primary parties.
We then review your companies financial documents to provide an indicative offer. We propose a bespoke deal structure tailored to the owner's exit requirements and the needs of the company.
Drafting and formalising the principal terms of the acquisition. This document provides a mutually agreed framework and clear roadmap for the remainder of the transaction.
Our team will then begin reviewing the financial, legal and commercial aspects of the business, this is all done in house and its purpose is to verify what you have shown us.
This runs concurrently with due diligence, we secure the required funding and complete the final sale and purchase agreement.
The official execution of the transaction and transfer of ownership. We prioritise an efficient handover to ensure continuity and peace of mind for the vendor.
The ideal target company will exhibit the following characteristics:
These criteria apply to outright acquisitions. We also work with smaller owner-run businesses on a different basis, set out below.
+ £5,000,000
+ £500,000
Long established with a strong history of stable EBITDA.
Cash generative with robust balance sheet.
Recurring revenues and repeat client relationships.
Clear operational systems and compliance standards.
Regional or multi site presence.
Strong second tier management team who will remain with the business post acquisition.
We work with owners who want a partner for the next stage, or who may consider selling in time but are not ready to step away just yet.
We audit every aspect of the company — its financials, operations, customers, people, contracts and processes — to identify where performance can improve and where value may be at risk.
Then we work alongside owners to make practical improvements that strengthen performance today and build long-term value, whether a future sale is planned or not.
These six areas have a direct bearing on day-to-day performance, resilience and the value others place on the business.
We embed key knowledge and relationships across the company, reducing bottlenecks and allowing the business to perform without everything depending on the owner.
We assess the revenue mix and help broaden the customer base, creating more dependable performance and reducing exposure to any single account.
We improve the quality of reporting and align management with statutory accounts, giving owners clearer insight and greater control over performance.
We strengthen the leadership beneath the owner, building accountability and the management depth needed to operate, improve and grow.
We bring contracts, IP, leases and operating processes into order, improving control today and making future ownership straightforward.
We identify the strongest sources of earnings and help improve recurring, transferable revenue — strengthening both performance and valuation.
We begin with a confidential conversation and a no-cost review of the whole business. This gives owners a clear view of what is working, what is holding performance back and where the greatest opportunities to build value lie. If we can genuinely help, the scope and terms are agreed clearly in writing before any work begins.
Our expertise covers the full spectrum of the M&A lifecycle. We are dedicated to ensuring a trusted home for your company to grow and prosper, providing the professional leadership and strategic direction required to secure a lasting legacy.
